Home life

Originally from Lexington, Massachusetts, David is a long-time resident of Olmsted Falls Ohio where his wife, Holly, was raised and served on the local school board for twelve years. David has two daughters and is a proud and active member of the west-side Cleveland Jewish community.

His practice spans Chapter 11 cases, wind-downs, receiverships, distressed M&A, creditor enforcement, and strategic workouts—helping clients protect value, solve problems, and move forward.

Bankruptcy, Restructuring & Insolvency

  • Represents shopping and living centers in the majority of national and regional retail Chapter 11 cases.
  • Represents a major regional co-packer in its prior financial and operational restructuring through a sale and now through further acquisitions. 
  • Coordinated the operational and financial restructuring of a $30M multi-state fracking services provider, including forbearance agreements and ultimate refinancing.
  • Represented a steel manufacturer in the wind-up of business operations, resulting in a substantial composition with creditors.
  • Represented a national transportation company in the wind-down of corporate affairs.
  • Represents a national staffing resources company in national and regional Chapter 11 cases and debt enforcement.

Distressed M&A, 363 Sales & Strategic Acquisitions

  • Represented purchaser of Lucky’s Supermarket through a Delaware Chapter 11 §363 virtual auction, coordinating a consortium of national buyers and overcoming an insider bid-suppression strategy.
  • Represented purchaser of a General Motors dealership through a Chapter 11 §363 sale — the first virtual acquisition of a dealership in GM’s history.
  • Provides intervention services for private equity funds regarding troubled assets and distressed asset purchases.

Creditors’ Rights, Committees & Litigation Outcomes

  • Represented a Committee Member in In re FirstEnergy Solutions Corp., the largest Chapter 11 case pending in the Northern District of Ohio. Representation resulted in a $12 million settlement on behalf of a class of large and mid-sized commercial electricity consumers related to the 2014 Polar Vortex surcharge.

Receiverships & Court-Appointed Fiduciary Work

  • Represents court-appointed receivers in Northern Ohio.

Lending, Loan Workouts & Enforcement

  • Represents a community impact and SBA lender on community impact loans and loan enforcement.
  • Negotiates debt enforcement, forbearance, restructuring, and workout strategies for lenders and creditors.

Ongoing Corporate & Transactional Advisory

  • Advises Ohio middle-market manufacturing companies, a regional automotive dealership, and a plastics recycler on corporate and transactional matters.
